• Review and develop with the consultants’ policies, procedures, and charters and by laws related to corporate governance.
• Develop correspondences with CMA on discloses are corporate governance.
• Develop internal circulars to update employees on new CMA rules.
• Maintain and update disclosures register for Board and Executive Management.
• Responsible for ensuring that the company follows the legal and regulatory requirements which pertain to their business
• Investigate any in-compliance with the regulatory requirements and provide recommendations on the appropriate action
• Consulting with the Compliance and Legal Managers as needed to rectify the consequences of a material violation or illegal act
• Responsible for ensuring that the company follows the rules and procedures of the Capital Markets Authority
• Ensuring that the company follows the rules of Disclosure and Transparency
• Implementing the governance standards with respect to the applicable laws
• Reviewing the agenda of the Board of Directors and the General Assembly with respect to joint-stock companies and follow-up dates of the session according to the applicable laws
• Liaising with the stock exchange and the Capital Markets Authority on an ongoing basis to provide related documents for due diligence purposes
• Drafting clients’ and suppliers’ contracts to ensure compliance with rules and regulations of regulatory agencies and company policies and procedures
• Revising all the contracts and advice with all the required amendments
• Updating the standards of conduct and development of periodical reviews
• Following-up with the Finance and Collection departments to discuss the status of credits and receivables and ensure timely payment as per set agreements
• Preparing annual and quarterly reports regarding the corporate governance progress.
• Providing reports to keep the Board and senior management informed of the operation and progress of compliance efforts
